Terms of Service

Welcome to cardinality.cloud (the “Site”). This Site and associated services are operated by Cardinality Cloud, LLC (“we”, “us”, or “our”). By accessing or using this Site or any of our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use this Site or our services.

1. Service Description

Cardinality Cloud, LLC provides multiple categories of services:

1.1 Consulting Services

Professional consulting services in Site Reliability Engineering, observability, monitoring, and related technologies, provided on a contract basis. Specific terms for consulting engagements are outlined in separate Statement of Work (SOW) documents.

1.2 Free Tools and Resources

Free educational resources, tools, and content including but not limited to:

  • Educational blog articles, tutorials, and documentation
  • Open source tools and calculators
  • Community resources, examples, and best practices

These free tools process data client-side in your browser and do not transmit or store your data on our servers.

1.3 Paid SaaS Applications

Commercial software-as-a-service applications offered on a subscription basis. Our first SaaS offering is Cardinality Cloud Meta Monitor, a monitoring service for Prometheus infrastructure. Additional SaaS applications, features, and tools may be added in the future. Specific features, pricing, and service details are described on the respective product pages and service dashboards.

2. Account Registration and Security

2.1 Account Creation

To use paid SaaS services, you must create an account and provide accurate, complete registration information. You must keep your account information current and accurate.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches

2.3 Authentication

We use AWS Cognito for secure authentication. By creating an account, you agree to maintain secure access to your authentication credentials and enable multi-factor authentication if available.

3. Billing and Payment

3.1 Subscription Billing

Paid SaaS services are billed on a subscription basis through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

3.2 Usage-Based Pricing

Some services use usage-based pricing where you are charged based on actual consumption (e.g., number of monitored resources, API calls, data volume). Usage calculations and billing rates are displayed in your account dashboard and product-specific documentation.

3.3 Payment Processing

All payments are processed securely through Stripe. We do not store your credit card information. You may update your payment information at any time through the Stripe Customer Portal accessible from your account dashboard.

3.4 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method multiple times
  • Your service may be suspended if payment cannot be processed
  • You remain responsible for any uncollected amounts
  • We reserve the right to terminate your account after repeated payment failures

3.5 Taxes

You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) in addition to the subscription fees, except for taxes based on our net income.

3.6 Price Changes

We reserve the right to change our pricing at any time. Price changes for existing customers will be communicated at least 30 days in advance and will take effect at your next billing cycle.

4. Cancellation and Refunds

4.1 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal accessible from your account dashboard. Cancellation will take effect at the end of your current billing period.

4.2 No Refunds

Payments are non-refundable. When you cancel, you will continue to have access to paid services through the end of your current billing period, but you will not be charged for subsequent periods.

4.3 Account Deletion

Upon cancellation:

  • Your monitoring data will be retained for 90 days for billing reconciliation
  • After 90 days, all monitoring data and configuration will be permanently deleted
  • You may request immediate data deletion by contacting us

5. Acceptable Use Policy

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Attempt to interfere with, compromise, or disrupt our services’ integrity, security, or availability
  • Attempt to gain unauthorized access to any part of our services or systems
  • Use automated scripts, bots, or scrapers to access our services without permission
  • Send excessive API requests that could be considered denial-of-service attacks
  • Reverse engineer, decompile, or disassemble any part of our services
  • Resell or redistribute our services without written permission
  • Use our services to monitor systems you do not own or have authorization to monitor
  • Store or transmit malicious code, malware, or content that violates intellectual property rights

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Data Privacy and Security

6.1 Data Collection and Storage

Paid SaaS Services:

  • We collect and store data you send to our services as necessary to provide the service
  • Data may include monitoring metrics, alert data, configuration information, and metadata
  • Data is stored in secure cloud infrastructure (AWS)
  • Specific data retention periods are described in product documentation

Website and Free Tools:

  • Free tools process data client-side; no form data is transmitted to our servers
  • We use Google Analytics for anonymous usage statistics
  • We do not collect personal data except when you voluntarily contact us

6.2 Data Usage

We use your data to:

  • Provide monitoring, alerting, and analytics services
  • Calculate billing charges based on usage
  • Display analytics and statistics in your dashboard
  • Improve our services and develop new features
  • Comply with legal obligations

6.3 Data Security

We implement industry-standard security measures including:

  • Encrypted data transmission (TLS/HTTPS)
  • Authentication and authorization controls (AWS Cognito, bearer tokens)
  • Regular security updates and monitoring
  • Restricted access to production systems

However, no system is completely secure. You acknowledge that you use our services at your own risk.

6.4 Data Sharing

We do not sell your data to third parties. We may share data with:

  • Service providers (AWS, Stripe, Cloudflare) necessary to operate our services
  • Law enforcement or regulatory authorities when legally required
  • Third parties with your explicit consent

6.5 Your Data Rights

You have the right to:

  • Access your data through our dashboard and API
  • Export your data (contact us for assistance)
  • Request deletion of your data (subject to retention requirements)
  • Opt out of non-essential data collection

6.6 Data Retention

  • Active service data: Retained while your subscription is active
  • Historical data: Specific retention periods vary by service and are described in product documentation
  • Billing records: Retained for 7 years for tax and legal compliance
  • Account information: Deleted 90 days after account termination (unless longer retention is required by law)

7. Service Level and Support

7.1 Service Availability

We strive to maintain high availability for paid SaaS services but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance when possible.

7.2 Support

Paid SaaS Services:

  • Email support during business hours (Eastern Time, Monday-Friday)
  • Response time: We aim to respond within 1-2 business days
  • Emergency support: Available for billing and security issues

Consulting Services:

  • Support terms outlined in individual SOW documents

Free Tools:

  • Community support via GitHub Issues
  • No guaranteed response time

7.3 Beta Features

We may offer beta or experimental features marked as such. Beta features are provided “as is” without warranties and may be modified or discontinued at any time.

8. Intellectual Property

8.1 Our Intellectual Property

The Site, services, content, logos, and trademarks are owned by Cardinality Cloud, LLC and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission, except:

  • Open source code as permitted by their respective open source licenses
  • Generated outputs from our tools (which belong to you)

8.2 Your Data and Generated Outputs

Your Data: You retain all rights to data you send to our services. By using our services, you grant us a limited license to process your data solely to provide our services.

Generated Outputs: All configurations, rules, and outputs generated by our free tools belong to you. We claim no ownership rights over generated content.

8.3 Feedback

If you provide feedback, suggestions, or ideas, we may use them without obligation or compensation to you.

8.4 Third-Party Trademarks

Prometheus® is a trademark of the Linux Foundation. AWS, Cognito, CloudFront, and related marks are trademarks of Amazon.com, Inc. This Site is not affiliated with, endorsed by, or sponsored by these organizations.

9. No Warranty - “As Is” Service

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranty that:

  • Services will meet your specific requirements
  • Services will be uninterrupted, timely, secure, or error-free
  • Results obtained will be accurate or reliable
  • Monitoring alerts will be delivered without delay
  • Any errors or bugs will be corrected
  • Generated configurations will be suitable for your specific use case

Exception for Consulting Services: Notwithstanding the above, consulting engagements governed by a separate Statement of Work (SOW) may include specific warranties as expressly stated in that SOW. Any such warranties apply only to the consulting services described in that SOW and do not extend to other services provided under these Terms.

CRITICAL WARNING: Monitoring services are provided as supplementary tools and should not be your sole method of monitoring critical infrastructure. Always maintain defense-in-depth monitoring strategies with multiple independent systems.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDINALITY CLOUD, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the services
  • Any conduct or content of any third party
  • Unauthorized access, use, or alteration of your data
  • Delayed, missed, or failed monitoring alerts or notifications
  • System downtime, service interruptions, or monitoring failures
  • Infrastructure failures that were not detected or reported
  • Data loss or corruption
  • Security breaches affecting your monitored systems
  • Decisions made based on our analytics or reports

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 1 MONTH PRECEDING THE CLAIM. FOR FREE SERVICES, OUR TOTAL LIABILITY IS ZERO DOLLARS ($0 USD).

Some jurisdictions do not allow limitation of certain warranties or liabilities, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cardinality Cloud, LLC, its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Deployment of generated configurations in your infrastructure
  • Any data you send to our services
  • Your failure to maintain adequate monitoring of your systems

12. Changes to Services

We reserve the right to:

  • Modify, suspend, or discontinue any service at any time with or without notice
  • Change or remove features, tools, or content
  • Limit access to certain features
  • Terminate or restrict your access for any reason, including violation of these Terms

For paid services, we will provide reasonable notice (typically 30 days) before discontinuing services or making material changes that negatively impact functionality.

13. Consulting Services - Separate Agreements

Consulting engagements are governed by separate Statement of Work (SOW) documents which take precedence over these Terms for the specific consulting services described. SOW documents will specify:

  • Scope of work and deliverables
  • Timeline and milestones
  • Payment terms and rates
  • Confidentiality provisions
  • Specific warranties or guarantees (if any)

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. For material changes affecting paid services, we will notify you via email at least 30 days before the changes take effect.

The “Last Updated” date at the top indicates when Terms were last revised. Your continued use of services after changes are posted constitutes acceptance of the revised Terms.

15. Termination

15.1 Termination by You

You may terminate your account at any time by canceling your subscription through the Stripe Customer Portal or by contacting us.

15.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

  • You violate these Terms
  • Your payment method fails repeatedly
  • You engage in fraudulent or illegal activity
  • We are required to do so by law
  • We discontinue the service

15.3 Effect of Termination

Upon termination:

  • You will lose access to paid services immediately (unless canceled at end of billing period)
  • Your data will be retained according to our data retention policy then permanently deleted
  • You remain liable for any outstanding charges
  • Sections of these Terms that by their nature should survive will continue to apply

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Parties to these Terms shall first attempt to settle any dispute through good-faith negotiation. If the dispute cannot be settled between the parties via negotiation, either party may initiate mediation or binding arbitration in the State of North Carolina.

If the parties do not wish to mediate or arbitrate the dispute and litigation is necessary, these Terms will be interpreted based on the laws of the State of North Carolina. The parties agree the dispute will be resolved in a court of competent jurisdiction in the State of North Carolina.

17. General Provisions

17.1 Entire Agreement

These Terms, together with any SOW documents for consulting services, constitute the entire agreement between you and Cardinality Cloud, LLC regarding the services and supersede any prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or government actions.

17.6 Export Controls

You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country.

17.7 Government Use

If you are a U.S. Government entity, our services are “Commercial Items” as defined in FAR 2.101 and are provided with only those rights as granted to all other customers per these Terms.
